01Description of Service

Pegasus DD Software provides web- and application-based due diligence, evaluation, and financial modeling tools. The Service allows users to enter workspaces, organize review materials, input parameters, and evaluate assumptions to output financial calculations, comparisons and structured diligence models for general information and analytical purposes.

02Account Registration & Eligibility

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Service.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at help@pegasusdd.com of any unauthorized access or breach of security.
• Accuracy of Information: You agree to provide accurate, current, and complete account information and keep it updated.

03User Data, Inputs & Output Verification

• User Responsibility for Inputs: The accuracy, completeness, and reliability of any outputs, calculations, reports, or projections generated by the Service depend entirely on the data, parameters, pitch decks, cap tables, and assumptions you or your authorized collaborators provide ("User Content"). You retain full responsibility for all User Content entered into or processed through the Service.
• Authority to Upload Third-Party Data: You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and authority to upload, submit, and share your User Content (including any third-party personal information or corporate financial records contained therein) without violating any third-party intellectual property, privacy, or contractual rights.
• Illustrative & Hypothetical Outputs: All financial projections, estimations, scoring metrics, ratios, and models outputs are strictly hypothetical, illustrative, and intended for general educational and planning purposes only.
• No Financial or Professional Advice The Service does not provide financial, legal, accounting, tax, or investment advice. Pegasus DD Software, Inc. is not a registered investment adviser, broker-dealer, or financial fiduciary, Outputs should never be used as the sole basis for making financial, investment, or corporate transaction decisions. You agree to independently verify all calculations and consult a certified financial advisor, CPA, or legal professional prior to relying on any output or completing an investment transaction.

04Subscriptions, Payments & Cancellations

• Billing: Access to certain features of the Service requires a paid subscription. You authorize us (or our third-party payment processor) to charge your payment method for the applicable subscription fees on a recurring basis.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled prior to the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds: Except as required by law or explicitly stated in a separate agreement, subscription fees are non-refundable.

05Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any local, state, national, or international law or regulations (including securities regulations and privacy laws).
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service.
• Interfere with, bypass, or compromise the security features, access controls, or platform performance.
• Scrape, automated-query, or extract data from the Service without express written consent.
• Rent, lease, resell, or sublicense, or distribute access to the Service to unauthorized third parties.
• Export, re-export, or transfer the Service or underlying software in violation of applicable United States, Japanese, or international export control laws and economic sanctions.

06Intellectual Property Rights

• Company IP: The Service, including software code, algorithms, interface elements, designs, text, graphics, and trademarks, is owned by or licensed to Pegasus DD Software, Inc. and is protected by copyright, trademark, and intellectual property laws.
• User Content Ownership: You retain all ownership rights in your User Content, raw financial figures, and diligence documentation. You grant us a limited, worldwide, non-exclusive license to host, store, process, and display User Content solely to operate, deliver and support the Service for you and your authorized workspace collaborators.
• No AI Model Training on Diligence Inputs: We do not use your confidential diligence materials, proprietary calculations, pitch decks, or User Content to train publicly accessible machine learning models or commercial foundation models.
• Feedback: If you provide suggestions, feature requests, or feedback regarding the Service, you grant us an unrestricted, perpetual, royalty-free license to use and incorporate such feedback into our products without compensation or obligation to you.

07Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTIES REGARDING THE VIABILITY, ACCURACY, COMMERCIAL MERIT, OR OUTCOME OF ANY FINANCIAL MODEL OR DUE DILIGENCE REVIEW COMPLETED USING THE SERVICE.

08Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEGASUS DD SOFTWARE, INC, ANY OF ITS AFFILIATES, ANY OF THEIR RESPECTIVE DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES) RESULTING FROM:

1. YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
2. ANY RELIANCE PLACED ON FINANCIAL PROJECTIONS, DILIGENCE OUTPUTS, EVALUATION SCORES, OR CALCULATIONS;
3. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; OR
4. ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100 USD) OR THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

09Indemnification

You agree to defend, indemnify, and hold harmless Pegasus DD Software, Inc., any of its affiliates, any of their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your violation of these Terms;
• Your User Content uploaded diligence materials, or lack of authorization to share third-party data; or
• Your reliance on outputs calculations, or models to make commercial, investment, or financial decisions.

10Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be submitted to binding individual arbitration administered in Santa Clara County, California, or resolved in the state or federal courts located within San Jose, California, and you consent to the personal jurisdiction thereof.

11Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that violates these Terms, infringes legal rights, or is harmful to other users, our business, or third parties. Upon termination, your right to use the Service will immediately cease.

12Changes to Terms

We may update these Terms from time to time. We will notify you of changes by updating the "Last Updated" date at the top of this page or by sending an email notification to your account email address. Continued use of the Service following notice constitutes your acceptance of the updated Terms.
